These Terms of Service ("Terms") govern your use of usbase.com and the services offered by USBase LLC ("USBase", "we", "us"). By using the website or ordering a service you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the website.

1. Who we are and what we do

USBase LLC is not affiliated with the Internal Revenue Service (IRS), any state Secretary of State or any other government agency. We are a private business-services company. Many filings we prepare can be made directly with the relevant agency by anyone, often at a lower cost or free of service fees. You pay us for preparation, submission, tracking and support.

USBase LLC provides paid services such as U.S. company formation, EIN and ITIN application support, registered agent service, tax-related filings and company maintenance filings. Where a service involves an IRS form (for example Form SS-4 or Form W-7), we prepare and submit it on your behalf based on the information and documents you give us. We do not verify the accuracy of your information and are not responsible for errors in it.

Nothing on this website or in our communications is legal, tax or accounting advice, and no attorney-client relationship is created. USBase LLC is not a law firm. For legal or tax advice, consult a licensed attorney or tax professional.

2. Using the website

• Provide accurate, complete and current information and keep your contact details up to date.
• Do not attempt to gain unauthorized access to the website or connected systems, interfere with its operation, or use it for unlawful purposes.
• All text, graphics, logos and other content on usbase.com belong to USBase LLC or its licensors and may not be copied, republished or distributed for commercial use without our written consent.

3. Orders, fees and payment

Service fees are the prices shown on the website or in your written quote at the time of order. Government, state and third-party fees (for example state filing fees or annual taxes) are separate unless the service page says they are included. Prices may change without notice, but a change does not affect an order already paid. Payments are processed by our third-party payment provider; we do not store your full card details.

4. Refund Policy

We start work as soon as we have your payment and the information we need. The refund rules below apply to every order.

1. If we cannot complete your service because of an error on our side that cannot be corrected, you receive a full refund.
2. If you cancel before we have prepared or shared any application forms or filings, you receive a full refund.
3. If you cancel after the forms or filings are prepared but before submission, a processing fee will be deducted and the remainder refunded. The processing fee for each service is stated in your order confirmation; ask us at [email protected] if you need it before ordering.
4. If the service has been completed (for example an EIN or ITIN is assigned, a company is formed or a filing is accepted), no refund is available.
5. If we cannot start or finish because the information or documents you provided are inaccurate or insufficient, no refund is available.
6. Once a filing has been submitted to the IRS or a state agency, a refund cannot be issued until the agency has reached a final decision on it.
7. Government and third-party fees that have already been paid to an agency are not refundable by us.

To request a refund, email [email protected] with your order details. Approved refunds go back to the original payment method.

5. Processing times

Processing times depend on the IRS or the relevant state agency, not on us, and they vary with agency workload. Times shown on our website are estimates, not guarantees. The IRS may ask for additional information or documents, which can extend processing. We will do our best to submit your filing promptly once we have everything we need.

6. Delivery

Services and documents are delivered electronically by email unless we agree otherwise in writing.

7. Disclaimer

The website and its content are provided "as available". We do not promise that the website or any service will be error-free or uninterrupted, or that your use will produce specific results. Information on the website is general, may change without notice and may be out of date. We are not responsible for the acts or omissions of third parties, including government agencies, banks and payment providers, or for linked third-party websites.

8. Limitation of liability

To the fullest extent permitted by law, USBase LLC will not be liable for indirect, incidental, consequential, exemplary or punitive damages, including lost profits, even if we were told they were possible. Our total liability for any claim relating to a service will not exceed the service fee you paid for that service.

9. Indemnity

You agree to indemnify and hold harmless USBase LLC, its members, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) brought by third parties because of your use of the website or your breach of these Terms.

10. Suspension and termination

We may suspend or end your access to the website, and decline or stop an order, if you violate these Terms, if required by law or a government request, or if we discontinue a service. We may disclose information when needed to comply with law, legal process or a government request, or to prevent fraud.

11. Governing law and disputes

These Terms and any dispute about the website or our services are governed by the laws of the United States and the State of Wyoming, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming.

12. Changes to these Terms

We may update these Terms from time to time. The version posted on this page applies from the date shown above.
